1. Acceptance of Terms

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree, you must immediately discontinue use. These Terms form a legally binding contract between you and Nexus AI Coding ("Nexus AI," "we," "our," "us").

If you are accepting these Terms on behalf of a company or organization, you represent that you have authority to bind that entity, and references to "you" will refer to that entity.

2. Eligibility Requirements

To use the Services, you must:

• Age: Be at least 18 years old to create an account. Users aged 13-17 may use the Service only with parental or guardian consent and direct supervision. Users under 13 are strictly prohibited.
• Authority: Have all necessary rights and authority to enter into these Terms and use the Services.
• Compliance: Comply with all applicable federal, state, local, and international laws and regulations, including payment processing regulations and data protection laws.
• Location: Be located in a jurisdiction where use of the Services is lawful and not prohibited.
• Good Standing: Not have been previously terminated or banned from the Services for violating these Terms.
• Payment Processor Compliance: Comply with the terms and policies of our payment processors (Stripe, PayPal, Authorize.Net, Paddle, Whop, and Dodo Payments).

3. Definitions

• Service(s): The Nexus AI Coding platform at nexus-ai.nexus, including AI code generation tools, API, software, documentation, and all related products and services we provide.
• User/You: Any individual or entity accessing or using the Service.
• Chats (Metered Usage): Billable interactions representing service consumption (e.g., one AI conversation turn, one code generation request). "Chats" are a measurement of server load, NOT stored monetary value or currency.
• Subscription: A recurring subscription to the Services with a monthly or annual billing period, including a set limit of daily Chats.
• AI Output: Code, suggestions, documentation, analysis, and other content generated by our AI models in response to your prompts and inputs.
• User Content: Code, prompts, files, data, project information, and other content you submit, upload, or input into the Service.
• Payment Processors: Third-party payment service providers (Stripe, PayPal, Authorize.Net, Paddle, Whop, Dodo Payments) that process transactions on our behalf or act as merchant of record where applicable.

4. Account Registration & Security

Account Registration: To access most features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to maintain and promptly update this information.

Account Security: You are solely responsible for maintaining the confidentiality and security of your account credentials, including username, password, and API keys. You must:

• Create strong passwords (minimum 8 characters with uppercase, lowercase, numbers, and symbols)
• Never share credentials with third parties
• Immediately notify us at [email protected] if you suspect unauthorized access
• Enable multi-factor authentication (MFA) when available
• Regularly update passwords and never reuse passwords from other services

Account Responsibility: You are fully responsible for all activities that occur under your account, whether or not authorized by you. We are not liable for any loss or damage arising from your failure to protect your account credentials.

Account Sharing: Accounts are personal and non-transferable. You may not share, rent, lease, or sell your account access to others. Enterprise plans may include team access features with appropriate user management.

5. Service Description

Nexus AI Coding provides AI-powered tools for software development, including:

• Code Generation: AI-generated code snippets, functions, modules, and complete implementations based on natural language prompts and specifications
• Code Analysis: Automated code review, bug detection, security vulnerability scanning, performance analysis, and best-practice recommendations
• Documentation: Automated generation of code comments, inline documentation, API documentation, README files, and technical specifications
• Code Optimization: Refactoring suggestions, performance improvements, code simplification, and optimization recommendations
• Integration Tools: REST API access, IDE plugins (VS Code, JetBrains, etc.), command-line tools, and CI/CD workflow integrations
• Collaboration Features: Team workspaces, code sharing, version control integration, and project management tools

Service Availability: We strive to provide high availability and uptime but do not guarantee uninterrupted, error-free, or secure access. The Service may be temporarily unavailable due to maintenance, updates, outages, or technical issues. We reserve the right to modify, suspend, or discontinue any feature or the entire Service at any time with or without notice.

6. Purchases, Subscription Plans & Limits

Subscription Tiers & Usage Limits:

Access to Nexus AI is provided via recurring subscriptions that include specific daily usage allowances ("Daily Chats").

How Daily Chat Limits Work:

• Definition: One "Chat" equals a single request-response interaction with our AI models.
• Daily Reset: Daily limits reset every 24 hours at midnight server time. Unused daily chats do not roll over to the next day.
• Real-time consumption: Chats are depleted in real-time as you interact with the Service.
• No cash value: Chats cannot be redeemed for money, refunded as cash, or exchanged for payment.

Subscriptions: Automatic Renewal

Your subscription automatically renews at the end of each billing period (monthly). You authorize us to automatically charge your payment method on file for renewal fees and applicable taxes.

Cancellation of Subscriptions: You may cancel your subscription at any time through your account settings or by contacting [email protected]. Cancellations take effect at the end of the current billing period. You will retain access to subscription features until the period ends. No refunds will be provided for unused time or unused Requests in the current billing period.

Price Changes: We reserve the right to modify pricing and fees at any time. We will provide at least 30 days' advance notice of material price increases for active subscriptions. Continued use of the Service after price changes constitutes acceptance of the new pricing.

7. Payment Terms (MULTI-PROCESSOR)

Payment Processing: We use third-party Payment Processors to securely process payments. By using the Service, you agree to comply with their respective terms:

Payment Authorization: By providing payment information, you authorize us and our Payment Processors to charge your payment method for all fees, subscriptions, one-time purchases, and applicable taxes.

Card Security & PCI Compliance: We do not store full credit card numbers (PANs) on our servers. All payment card data is handled exclusively by PCI DSS Level 1 compliant Payment Processors through secure, tokenized, and hosted payment flows.

Billing Disputes: If you believe you were incorrectly charged, contact us at [email protected] within 30 days of the charge. We will investigate legitimate billing errors.

8. Refunds & Dispute Resolution

A. Satisfaction Guarantee (7-Day Limited Refund Window)
We want you to be satisfied with Nexus AI. If you are a new subscriber, you are eligible for a full refund within 7 days of your initial purchase, provided that:

1. Usage Limit: You have consumed fewer than 100 Chats (or 10% of your plan’s monthly allowance, whichever is lower).
2. Reason: You have contacted [email protected] indicating why the service did not meet your needs.

B. Non-Refundable Circumstances
Refunds will NOT be issued if:

• You have used a significant portion of your Chats (proving the service was delivered).
• The request is made after 7 days of the purchase date.
• The account was terminated for violation of our Terms of Service (e.g., generating prohibited content).

9. Acceptable Use Policy

You agree to use the Services only for lawful purposes and in compliance with these Terms and all applicable laws. You must not:

• Illegal Activities: Use the Service for any illegal, fraudulent, harmful, or malicious purpose, or to generate code for illegal systems, malware, viruses, or exploits
• Harmful Content: Generate code designed to harm, exploit, harass, stalk, abuse, threaten, deceive, or defraud others
• Security Violations: Attempt to gain unauthorized access to our systems, accounts, networks, or data; bypass security measures; or exploit vulnerabilities
• System Abuse: Overload, flood, spam, crash, or interfere with the Service's operation, infrastructure, servers, or networks

10. AI-Generated Content & Limitations

AI Output Accuracy: AI-generated code and suggestions are provided as-is and may contain errors, bugs, security vulnerabilities, inefficiencies, or inaccuracies. You are solely responsible for reviewing, testing, validating, and verifying all AI Output before using it in production systems. We make no warranties about the accuracy, reliability, completeness, or suitability of AI Output for any purpose.

Training Data Limitations: Our AI models are trained on publicly available code and data up to a specific cutoff date. AI Output may not reflect the latest libraries, frameworks, best practices, security patches, or API changes. Always verify against current documentation.

11. Suspension, Termination & Account Closure

Your Right to Terminate: You may terminate these Terms and close your account at any time by ceasing use of the Services and contacting [email protected] to request account deletion. Account closure does not relieve you of obligations to pay fees owed or liabilities incurred prior to termination.

Our Right to Suspend or Terminate: We may immediately suspend or terminate your access to the Services, with or without notice, if:

• You breach these Terms, Payment Processor terms, or applicable laws
• You engage in fraudulent, illegal, abusive, or harmful activities
• You use the Service for prohibited or restricted activities
